→ Custom software engineering
→ CTO/Architecture as a Service
→ Team augmentation and technical hiring

▸ Engagement Models

[1] Fixed-Fee Deliverables

• Defined scope and milestones
• Payment tied to milestone completion
• Change orders handled separately

[2] Hourly Consulting

• Flexible engagement for evolving needs
• Billed monthly or bi-weekly
• Detailed time tracking provided

[3] Equity Participation

• Discounted rates in exchange for equity
• Aligned incentives with startup success
• Subject to separate equity agreements

▸ Client Responsibilities

[1] Provide timely access to necessary systems and data
[2] Assign a technical point of contact
[3] Provide clear requirements and feedback
[4] Make timely decisions on project matters
[5] Honor payment terms

▸ Intellectual Property

Custom Work Product:

✓ Client owns code and deliverables created specifically for them
✓ Full ownership transfers upon final payment

Pre-existing & Reusable Components:

✓ We retain ownership of frameworks, tools, and methodologies
✓ Client receives license to use within their project

▸ Confidentiality

Both parties agree to:

! Protect confidential information disclosed during engagement
! Use confidential information only for project purposes
! Not disclose to third parties without written consent
! Return or destroy confidential materials upon request

▸ Warranties & Limitations

We Warrant:

→ Services performed with professional care and skill
→ Work meets agreed specifications
→ No infringement of third-party IP rights

Limitations:

! No warranty for client-modified code
! Not responsible for third-party service failures
! Liability limited to fees paid for specific engagement

▸ Termination

→ Either party may terminate with 30 days written notice
→ Client pays for work completed to date
→ Immediate termination for material breach
→ Confidentiality obligations survive termination

▸ Governing Law

These terms are governed by the laws of [Your Jurisdiction]. Disputes will be resolved through arbitration or mediation before litigation.
